1. Who We Are

Board of Legends is a service of GiBSeS OÜ, a company incorporated under Estonian law with its registered office in Tallinn, registration number [INSERIRE], hereinafter also referred to as "Board of Legends", "we", "the Service" or "the Controller".

The service is accessible at:

  • boardoflegends.com — public information portal
  • app.boardoflegends.com — application for registered users

By registering for or using the Service, you fully accept these Terms of Service ("Terms"). If you do not accept, do not use the Service.

2. Description of the Service

Board of Legends is an AI-based SaaS platform that provides:

  • A team of AI experts ("Legends" or "Personas") that can be configured to analyse, challenge and validate the user's ideas
  • A Master Orchestrator that coordinates the Legends and guides the user through a structured, phased journey
  • Document generation (PDF, Excel, PowerPoint, Word) in standard business formats (market analysis, business plan, pitch deck, financial projections)
  • Custom knowledge base (for higher-tier plans) to train the Legends on the user's own documents
  • Iterative analysis and review tools

The Service is offered "as-is". The Legends are AI agents and do not replace specialised professional advice (legal, financial, medical, tax, psychological or otherwise).

3. Registration and Account

3.1 Requirements

To use the Service you must:

  • Be at least 18 years of age (or the minimum age of majority in your country), or 16+ with parental/guardian authorisation under applicable laws
  • Provide a valid email address
  • Create a secure password
  • Accept these Terms and the Privacy Policy

3.2 User responsibilities

You are responsible for:

  • Keeping your credentials confidential
  • Promptly notifying any unauthorised use of your account
  • Providing truthful and up-to-date information
  • Using the Service in compliance with the law and these Terms

3.3 One user, one account

The following are not permitted:

  • Creating multiple accounts to circumvent plan limits or obtain free Sparks
  • Sharing credentials with third parties
  • Selling, assigning or transferring your account

In the event of a breach, the Controller may suspend or close the account without notice or refund.

4. Subscription Plans and Sparks

4.1 Available plans

Board of Legends offers differentiated plans (up-to-date details at boardoflegends.com/pricing):

  • Apprentice — free plan with reduced limits
  • Advisor — basic paid plan
  • Strategist — intermediate paid plan
  • Board Room — premium paid plan

4.2 Sparks

Sparks are digital consumption units, not convertible into currency, representing the use of the AI Legends and document generation features.

  • Each plan includes a monthly Sparks allowance
  • Additional Sparks are available as one-time top-ups
  • Unused Sparks for the month do not accumulate and are not refunded (unless the plan states otherwise)
  • Actual consumption varies based on the AI model used and the complexity of the task
  • The Controller provides an advance estimate of the cost, without guaranteeing an exact match

4.3 Payments

Payments are processed by Stripe. The main payment methods available in the user's country are accepted.

  • Prices are shown exclusive of VAT, which is applied according to the legislation of the user's country (OSS scheme for intra-EU sales)
  • Subscriptions renew automatically on a monthly or annual basis, unless cancelled
  • Cancellation may be made at any time from the account settings and takes effect at the end of the period already paid for

4.4 Refunds

Under EU distance-selling regulations (Directive 2011/83/EU), you have the right to withdraw within 14 days of your first subscription, provided you have not actively started using the Service (e.g. have not generated documents or consumed Sparks beyond a symbolic trial threshold).

Express exception: by starting to use the Service and consuming Sparks within the 14-day period, you expressly consent to the immediate performance of the service and waive the right of withdrawal for the part performed, pursuant to art. 16 of Directive 2011/83/EU.

Discretionary refunds beyond this period may be granted on a case-by-case basis, at the Controller's sole discretion, for:

  • Critical malfunctions attributable to the Service
  • Documented billing errors

4.5 Price changes

The Controller reserves the right to modify plan prices. Changes will be communicated with at least 30 days' notice by email and on the platform, and will apply from the next subscription renewal. The user may cancel before the new price takes effect.

5. Acceptable Use

5.1 Permitted uses

You may use Board of Legends for:

  • Analysis of business ideas, projects, strategies
  • Generation of business documents for personal or organisational use
  • Learning, research, personal training
  • Indirect consulting with clients (stating that the content is AI-generated)

5.2 Prohibited uses

It is expressly prohibited to use the Service for:

  • Illegal activities or activities contrary to public order and morality
  • Creating content that infringes the rights of third parties (intellectual property, privacy, defamation)
  • Generating pornographic, hateful, discriminatory content or incitement to violence
  • Producing fraudulent documents (falsified financial statements, forged legal documents)
  • Attempting to circumvent plan limits via automation, scraping or unauthorised bots
  • Reverse engineering, decompiling, or copying the Service or any part thereof
  • Reselling access to the Service to third parties without written authorisation
  • Using the Service in a manner that compromises its stability, security or performance
  • Creating AI personas that impersonate real persons without their consent
  • Circumventing security, authentication or billing systems

5.3 Monitoring and sanctions

The Controller reserves the right to:

  • Temporarily suspend accounts in the event of suspected abuse
  • Permanently close accounts in the event of serious or repeated violations
  • Report illegal activities to the competent authorities
  • Withhold payment in the event of closure for breach (without pro-rata refund)

6. Intellectual Property

6.1 Controller's content

The Service, source code, interface, the trademarks "Board of Legends" and "GiBSeS", documentation, default personas and all other proprietary elements are the exclusive property of GiBSeS OÜ or its licensors, protected by copyright, trademarks and other intellectual property rights.

You are granted a personal, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

6.2 User content

Content you provide (messages, ideas, uploaded documents) remains your exclusive property.

You grant the Controller a limited, non-exclusive, royalty-free licence to use such content solely for:

  • Providing the Service to you
  • Carrying out necessary technical processing (including transmission to LLM providers)
  • Backup and maintenance operations
  • Improving the Service in aggregate and anonymised form (never individually identifiable)

The Controller does not claim rights over your content and does not use it for:

  • Training public AI models (LLM provider outputs are configured with training opt-out)
  • Sharing with third parties for commercial purposes
  • Re-publishing or re-using outside your account

6.3 AI-generated content

Documents and responses generated by the Legends ("AI Output") are provided to you as part of the Service.

  • You have the right to freely use the AI Output for any lawful purpose (personal, commercial, academic)
  • The Controller does not claim rights over AI Output generated in response to your prompts
  • AI Output is provided "as-is": we do not guarantee accuracy, completeness, fitness for specific purposes or freedom from error
  • You are responsible for verifying, reviewing and validating the AI Output before using it in critical contexts (publication, contracts, investment decisions, professional opinions)

6.4 Third-party rights

AI Output may occasionally reflect styles, structures or fragments of content protected by third-party rights. You are responsible for verifying that your use does not infringe the rights of others.

7. Disclaimers and Limitations of Liability

7.1 Nature of the Service

Board of Legends is an AI-based decision-support tool. It is not and does not replace:

  • Professional legal, financial, tax or accounting advice
  • Medical, psychological or health opinions
  • Financial or legal due diligence for investments
  • Certified professional market analysis
  • Any form of regulated professional advice

AI content may contain errors, omissions, biases, outdated or invented data ("hallucinations"). The user is always the final decision-maker and assumes full responsibility for their use of generated content.

7.2 Limitation of liability

To the maximum extent permitted by applicable law, the Controller shall not be liable for:

  • Indirect, incidental, consequential, special or exemplary damages
  • Loss of profits, revenue, customers or business opportunities
  • Loss of user data (except in cases of wilful misconduct or gross negligence by the Controller)
  • Damages arising from the use of AI Output in critical contexts without professional verification
  • Service interruptions due to force majeure, cyberattacks, third-party provider failures (cloud, LLM provider, payments)

Overall cap: in no event shall the Controller's liability exceed the amount paid by the user in the 12 months preceding the damaging event, or €100 if greater.

Exclusions: the above limitations do not apply to:

  • Wilful misconduct or gross negligence
  • Violations that cannot by law be excluded (personal injury, non-derogable GDPR violations, non-derogable EU consumer regulations)

7.3 No warranties

The Service is provided "as-is" and "as-available". The Controller does not warrant:

  • Continuous availability of the Service (99.5% uptime objective, not a contractual guarantee)
  • Absence of bugs, errors or interruptions
  • Compatibility with any device or browser
  • Accuracy or completeness of AI Output
  • Fitness for the user's specific purposes

8. Privacy and Personal Data

The processing of personal data is governed by the Privacy Policy, which forms an integral part of these Terms.

  • Primary legal basis: contract performance, consent, legal obligations
  • Extra-EU transfer to LLM providers (USA) with adequate safeguards (SCC, DPF)
  • GDPR rights exercisable: access, rectification, erasure, portability, objection
  • Account deletion with 30-day grace period

9. Modification of Terms

The Controller may update these Terms to:

  • Comply with new regulations
  • Reflect new features or changes to the Service
  • Clarify existing clauses
  • Other objective and reasonable grounds

Changes will be communicated:

  • By email to registered users (at least 30 days before taking effect for substantial changes)
  • With a prominent notice on the platform
  • By updating the date at the top of the document and maintaining version history

If you do not accept the changes, you may close your account before they take effect. Continued use of the Service after that date constitutes acceptance.

10. Duration and Account Closure

10.1 Duration

The contract has a term of:

  • Free plans: indefinite, unless terminated by either party
  • Paid plans: corresponding to the paid period (monthly/annual), automatically renewed

10.2 Closure by the user

You may close your account at any time:

  • Account settings → "Delete account"
  • 30-day grace period for reconsideration (during which you may cancel the closure)
  • After 30 days, data is deleted or irreversibly anonymised

Subscription cancellation (without account closure):

  • Account settings → "Manage subscription"
  • Access to the Service maintained until the end of the paid period
  • No automatic renewal at the end

10.3 Closure by the Controller

The Controller may suspend or close your account:

  • With notice (7 days by email) for service cessation or substantial unaccepted changes
  • Without notice in the event of:
    • Serious breach of Terms (§5.2)
    • Request from a competent authority
    • Extended non-payment (>30 days)
    • Fraudulent or illegal activities

10.4 Effects of closure

Upon account closure:

  • You lose access to the Service and any unexported content
  • Data is retained in accordance with the Privacy Policy timelines (§5)
  • Clauses 6, 7, 11, 12, 13 survive termination

Data export before closure: we recommend exporting your documents and data via the "Export my data" feature before proceeding with deletion.

11. Force Majeure

The Controller shall not be liable for failures due to:

  • Force majeure events (wars, pandemics, natural disasters)
  • Acts of public authorities
  • Interruptions of critical third-party providers (cloud, LLM, payments)
  • Unforeseeable large-scale cyberattacks
  • Internet network outages

12. Applicable Law and Jurisdiction

12.1 Applicable law

These Terms and any disputes arising therefrom are governed by the law of the Republic of Estonia, without prejudice to the non-derogable consumer protection rules applicable in the country of residence of the EU consumer.

12.2 Jurisdiction

For disputes with EU consumers:

  • Consumer forum: court in the consumer's country of habitual residence, pursuant to EU Regulation 1215/2012
  • Alternative dispute resolution (ODR): the user may use the EU Commission's ODR platform https://ec.europa.eu/consumers/odr

For disputes with non-consumer users (professionals/companies):

  • Exclusive jurisdiction: Court of Tallinn (Estonia)

13. Final Provisions

13.1 Assignment

The Controller may assign these Terms and the contract to third parties (e.g. in the event of a business sale, merger or acquisition) upon prior notification to users. The user may not assign their account or rights derived from these Terms without the Controller's written consent.

13.2 Partial invalidity

If any clause of these Terms is declared invalid or unenforceable by a competent authority, the remaining clauses shall remain fully effective.

13.3 Waiver

Failure to exercise a right provided for under the Terms does not constitute a waiver thereof.

13.4 Entire agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between the user and the Controller, superseding any prior agreement or communication on the same subject matter.

13.5 Communications

Official communications to the Controller must be sent to:

Communications from the Controller to the user will be sent to the email address associated with the account.


Acceptance

By using the Service, you declare that you:

  • Have read, understood and accepted these Terms
  • Have read the Privacy Policy and the Cookie Policy
  • Are at least 18 years of age or 16+ with parental authorisation
  • Provide truthful information

Document drafted in Italian. The Italian version prevails in the event of discrepancies with translations in other languages.
